This casebook embodies the conviction that theoretical and practical legal education are complementary and no more so than in the setting of M&A transactions, where corporate lawyers are regularly called upon to draw on their substantive knowledge of the law to advise clients on how best to effectuate their business objectives. Accordingly, this book retains the most significant judicial decisions in M&A jurisprudence while also making heavy use of textual explication, sample documentary provisions, and the latest teaching methods to deepen students' understanding of the relevant case law and prepare them for practice. The authors employ three principal pedagogical methods: Questions help students focus on information in the cases that is most relevant to the principles underlying specific topic areas. Problems hone students' abilities to interpret and apply the material to novel situations similar to those they might be asked to analyze in practice. Skills exercises provide time-efficient transactional skills training to students in the context of M&A. Additionally, this title is accompanied by online self-assessment quizzes, tied to the text, that help you gauge your understanding of the material.

Hardly anybody outside a company knows its products and processes better than its suppliers. Research confirms that intensive integration of suppliers in the value creation process positively influences the success of the company, particularly in highly competitive industries. This is a result of the progressing reduction in the depth of value creation of manufacturers and the increasing transfer of know-how towards suppliers. In multilevel business-to-business relationships, suppliers often have the best or the only access and comprehensive knowledge about the end users. Therefore, suppliers determine the scope of possible innovations, which most companies do not actively use. This unique volume provides a comprehensive overview of theories, concepts and especially empirical results on open innovation and the integration of suppliers. For this, authors from all over the world present their latest research results offering fascinating insights into collaborative approaches with suppliers. There are substantial bodies of literature that advance theory about why merger and acquisition candidates are found to be unattractive, why negotiations are not concluded, and why the benefits of companies that are acquired are not realised. Little, if any, research identifies why merger and acquisition opportunities are not pursued in the period after candidates are analysed and found to be attractive but before negotiations begin. This study addresses this period by developing a theoretical framework of the variables that intervene to reverse decisions to pursue apparently attractive candidates before negotiations begin and which, in doing so, result in missed opportunities. The study is informed primarily by the strategic-management content literature but draws from the strategy-process literature including streams in strategic decision making (SDM) and behavioural decision theory (BDT). This is a critical book for business scholars that provides an important perspective that has not yet been studied.

In this thesis acquisitions are discussed with regard to corporate strategy and industry environment. Players, features, and motives are highlighted. These elements are integrated into a basic framework. By thoroughly analyzing the existing literature in the field it is justified why there is still a need for a further literature review although several are already published. On the basis of this analysis an integrative framework is presented which is used for the review. The results of the review are summarized and interpreted. Moreover the basic concept of mindfulness is presented and linked to the context of mergers and acquisitions. Subsequently, hypotheses about the impact of mindfulness on acquisitions performance are derived. Further, the roles of moderating factors are discussed. The hypotheses are tested within an empirical setting, followed by a careful analysis of findings.
